Please read these Terms carefully before using our website or engaging our services.

1. Acceptance of Terms

By accessing our website at siliconpatterns.com or engaging our engineering services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our website or services. These Terms apply to all visitors, clients, and others who access the website.

For professional services engagements, a separate Statement of Work (SOW) or Master Services Agreement (MSA) will govern the specific terms of each project and will take precedence over these general Terms where there is a conflict.

2. Services Description

Silicon Patterns provides specialized semiconductor engineering services including but not limited to:

• ASIC and SoC design, micro-architecture, and RTL implementation
• Functional verification (UVM-based and formal methods)
• Automotive silicon engineering compliant with ISO 26262
• AI/ML accelerator and NPU design
• Embedded systems, firmware, and BSP development
• Physical design, timing closure, and sign-off
• Post-silicon validation and bring-up
• SystemC modeling and virtual platform development

The specific scope, deliverables, timelines, and fees for any engagement will be defined in a project-specific SOW executed between Silicon Patterns and the client.

3. Intellectual Property

Website Content: All content on this website, including text, graphics, logos, and code, is the property of Silicon Patterns and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

Project Deliverables: Ownership of intellectual property created during a client engagement is governed by the applicable SOW or MSA. Unless otherwise agreed in writing, deliverables created specifically for a client project become the client's property upon full payment.

Pre-existing IP: Silicon Patterns retains ownership of all pre-existing IP, methodologies, tools, frameworks, and know-how brought to an engagement. We may grant clients a license to use such IP as specified in the relevant agreement.

4. Confidentiality

Silicon Patterns maintains strict confidentiality of all client information, technical specifications, and project details. We will not disclose confidential client information to third parties without the client's written consent, except as required by law.

Specific confidentiality terms, including the duration and scope of confidentiality obligations, will be defined in a Non-Disclosure Agreement (NDA) or the applicable MSA signed prior to any substantive technical discussions.

5. Payment Terms

Payment terms for professional services are specified in the applicable SOW. Generally:

• Invoices are due within 30 days of the invoice date unless otherwise agreed
• Late payments may incur interest at 1.5% per month or the maximum rate permitted by law
• Silicon Patterns reserves the right to suspend services for overdue accounts
• All fees are exclusive of applicable taxes, which are the client's responsibility

6. Limitation of Liability

To the maximum extent permitted by applicable law, Silicon Patterns's total liability for any claims arising from these Terms or the provision of services shall not exceed the fees paid by the client to Silicon Patterns in the three (3) months preceding the claim.

Silicon Patterns shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

7. Warranties & Disclaimers

Silicon Patterns warrants that its engineering services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranties for deliverables are set forth in the applicable SOW.

The website is provided "as is" without warranties of any kind, express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

8. Termination

Either party may terminate a services engagement as specified in the applicable SOW or MSA. Silicon Patterns reserves the right to terminate website access for users who violate these Terms. Upon termination, provisions relating to intellectual property, confidentiality, payment obligations, and limitation of liability shall survive.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

The parties agree to attempt in good faith to resolve any dispute through negotiation before initiating formal legal proceedings.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the website. Continued use of the website or services constitutes acceptance of modified Terms.
